We advised Scotia Capital (USA) Inc. and Goldman Sachs & Co. LLC, as arrangers, in the international issuance of the subordinated notes denominated “U.S.$400,000,000 6.100% Subordinated Notes due 2035” by Scotiabank Perú S.A.A., under Rule 144A and Regulation S of the U.S. Securities Act.
The advice provided included the performance of due diligence with respect to Scotiabank Perú S.A.A., in its capacity as issuer, and focused on advice from the perspective of the Peruvian legislation applicable to the issuance, especially in relation to the application of the Subordinated Debt Regulation applicable to Companies in the Financial System, as it is a subordinated debt placement.
