We advised BCP on Efectibank’s issuance of Negotiable Certificates of Deposit
Subject Matter Experts
Transaction
We advised Banco de Crédito del Perú (BCP), as structuring agent, on the issuance of Series D of the Second Issuance under Banco Efectiva’s (formerly Financiera Efectiva) Second Negotiable Certificates of Deposit Program, carried out through a public offering totaling PEN 46 million.
We provided comprehensive legal advice on the structuring of the transaction and the preparation of the Series documentation, including the corresponding updates to the Information Prospectus and the legal due diligence of Banco Efectiva. We also assisted with the relevant registration procedures before the Superintendence of the Securities Market (SMV) and CAVALI, the securities clearing and settlement institution.
Banco Efectiva, a banking institution backed by Grupo EFE and specializing in consumer lending and microfinance, recently obtained authorization from the Superintendence of Banking, Insurance and Private Pension Fund Administrators (SBS) to become a bank, a significant step that strengthens its position within the Peruvian financial system. As a recurrent issuer in the Peruvian securities market, Banco Efectiva has an established track record that we have supported by advising the structuring agent on all its debt securities issuances.
Legal Team
The PRCP team responsible for the transaction was led by our partner Eduardo Vega and included our principal associate Rocío Gordillo and our associate María Fernanda Ríos.
